If you want to avoid disputes over the meaning of a contract term, then try this simple, inexpensive process:
While you are negotiating the contract, take photographs of the notes, diagrams, maps, whiteboard memos, or anything else you are using to help formulate the terms of your agreement. For each photo, include the photographer's name, the date, the location, and the names of anyone in the pictures.
In addition to photos, take a video of the negotiations. Identify everyone present by stating their name, which party they represent, and their agreement to take the video.
To be effective, the video needs to include the parties' agreed intent for the various terms of the contract. For example: If the parties intend that their contract renews every year - be explicit about what exactly that means and describe how that renewal occurs.
Once you are done with the photos and video, have the parties sign a notarized declaration attesting to their authenticity and agreeing that they can be used in court, should a legal dispute arise. Store the photos and video in a secure document storage app on the cloud that neither party can alter or remove.
